Terms of Service

Last updated: [DATE]

1. The agreement

These terms are a contract between [LEGAL ENTITY NAME] ("CrewFinding", "we") and you. "Company" means the business that opens a CrewFinding account; "Crew member" means a person the Company adds to its account; "Client" means a person who signs a document or pays through the app on a Company's job. By using CrewFinding you accept these terms.

2. What CrewFinding is

CrewFinding is a crew operations platform: GPS crew tracking, time tracking, electronic signatures, job costing, crew timesheets and payment collection. CrewFinding does not provide payroll services. CrewFinding is a tool; the Company remains responsible for how it runs its business, treats its workers and serves its clients.

4. Subscription and payment

5. Location tracking and workers

The Company agrees to use location and time tracking lawfully and transparently: informing crew members that work sessions are tracked, using tracking only for legitimate work purposes, and complying with applicable labour and privacy law, including Quebec Law 25. Location is captured during active work sessions only. [CONFIRM APP BEHAVIOR]

6. Electronic signatures and documents

Documents signed in CrewFinding are electronic signatures under applicable law, timestamped and tamper-evident. The Company is responsible for the legal content of its contracts, BOLs and waivers; CrewFinding stores and transmits them but does not draft them.

7. Acceptable use

8. Data

The Company owns its business records. Our Privacy Policy explains what we collect and why. We may use aggregated, de-identified data to improve the service.

9. Availability and disclaimers

We aim for high availability but the service is provided "as is". GPS accuracy depends on devices and networks. CrewFinding is not an employer, payroll agent, tax adviser or insurer, and numbers the app shows (including profit figures) depend on the data entered.

10. Limitation of liability

To the maximum extent permitted by law, CrewFinding's total liability for any claim is limited to the fees the Company paid in the 12 months before the claim. We are not liable for indirect or consequential damages, lost profits or lost data beyond our control. Nothing in these terms limits liability that cannot be limited under Quebec consumer protection or other applicable law.

11. Termination

The Company may cancel at any time. We may suspend or terminate accounts that break these terms. After termination the Company may export its records for [N] days.

12. Governing law

These terms are governed by the laws of Quebec and the federal laws of Canada applicable in Quebec. Disputes are subject to the courts of the judicial district of Montreal.
